Articles of Organization

Definition

The state formation document typically filed to create a U.S. limited liability company.

Overview

Articles of Organization

The state formation document typically filed to create a U.S. limited liability company. States use different names for this document; understanding the terminology helps operators and counsel file correctly and interpret filing results.

Although the substantive purpose is the same — to establish an LLC and record core facts about it — the label varies: many states use "Articles of Organization," others "Certificate of Formation," "Certificate of Organization," or simply "Formation Documents." The differences are primarily linguistic and procedural; a "Certificate of Formation" filed in Delaware or Texas has the same legal effect as "Articles of Organization" filed in Ohio or Georgia.

How To Tell Which Term Your State Uses

Check the Secretary of State (or equivalent) website for filing forms and instructions. The name used on the official form is the controlling label for that jurisdiction. Formation services, lawyers, and online filing portals will use the state-specific terminology to avoid confusion.

  • State Website: The filing portal shows the exact form name and required fields.
  • Form Title: The PDF or online form label (e.g., "Certificate of Formation") is authoritative.
  • Naming Conventions: Filing offices provide naming rules (allowed suffixes, prohibited terms) that match the form label.

Key Practical Differences

Most differences are procedural — fee structure, online versus paper options, and whether the state issues a stamped certificate versus an electronic acknowledgement. A few states include slightly different required fields; for example, some require a brief statement of purpose, while others do not. These distinctions can affect timeline and ancillary compliance but not the LLC’s core legal attributes.

  • Forms And Fields: One state may request a manager/ member list, another will not; comply exactly with the jurisdiction’s form.
  • Filing Results: Some states return a certified copy automatically; others require a separate request for a certified copy.
  • Terminology In Contracts: Contracts often reference the exact formation document — use the state-specific title when attaching a certified copy.

When It Matters Practically

The variation matters when you need certified evidence of formation, when searching public records for lien searches or due diligence, or when preparing organizational charts and tax paperwork. For cross-state operations, use the correct title when registering a foreign entity, applying for state permits, or executing documents that must be consistent with the state record.

Examples In The Field

Delaware uses "Certificate of Formation"; its filing establishes the LLC under Delaware law. California and many other states use "Articles of Organization." If a logistics company formed in Delaware expands into New York, it will file a foreign LLC registration using the Delaware certificate as the primary proof of existence — the label on the Delaware document remains "Certificate of Formation."

Practical Checklist For Incoming Filers

  • Verify Jurisdiction: Confirm which state’s form you must file and use that state's terminology on supporting documents.
  • Obtain Certified Copies: Request certified copies in the state of formation to support foreign registrations and contracts.
  • Match Documents: When attaching formation documents to federal or state filings (EIN application, licensing), match the name used by the issuing state.

In short, the Articles of Organization are the generic name often used for the state form that creates an LLC; other states call the same filing a "Certificate of Formation" or similar. The substantive result — legal recognition of the LLC — is the same, but using the correct state-specific form name and obtaining certified copies prevents delays in registrations, contracts, and permits.
