Confirmation Statement

Definition

A recurring Companies House filing confirming that specified information held about a company is accurate and up to date.

Overview

Confirmation Statement A recurring Companies House filing confirming that specified information held about a company is accurate and up to date.

The Confirmation Statement replaced the annual return in 2016. Both are Companies House filings that provide a snapshot of a company’s statutory register, but they differ in scope, flexibility and legal framing. Understanding the differences is important for compliance teams, advisers and in-house counsel so filings are correct and timed appropriately.

Core Practical Differences

  • Frequency: Both the Confirmation Statement and the annual return are filed at least once every 12 months, but the confirmation statement allows companies to file more often without restriction to update details.
  • Flexibility: The Confirmation Statement focuses on confirming existing register information; companies can file it whenever material changes occur. The annual return was more rigid in format and timing.
  • Timing And Confirmation Date: The confirmation date on the new statement is simply reset each time a statement is filed, which gives companies more control over their filing calendar compared with the annual return structure.
  • Content Differences: The annual return included a wider snapshot of information as at a single date; the confirmation statement asks the company to confirm the accuracy of specific statutory items and to supply updates where needed.

Why Companies House Made The Change

The reform aimed to simplify ongoing requirements and reduce paperwork: rather than forcing companies into a fixed annual snapshot, the confirmation statement model allows quicker updates and reduces duplication where multiple small changes occur during a year. This better reflects the dynamic nature of modern business while preserving public transparency.

Operational Impact For Businesses

Switching from annual returns to confirmation statements changed how companies coordinate internal processes. Filing officers and finance teams must now track both confirmation dates and the underlying statutory registers. For businesses dealing with frequent director or shareholder changes — common in investment, logistics carrier networks and 3PL joint ventures — the updated regime reduces administrative lag by allowing more frequent filings.

Examples Where The Difference Matters

  • Label:Change Of Shareholders: A logistics company that regularly issues new share classes to investors can file a confirmation statement after each issuance rather than wait for an annual snapshot.
  • Label:Director Changes: If a director resigns and a replacement is appointed mid-year, the company can update the register immediately and file an updated confirmation statement so the public record stays accurate.
  • Label:Service Provider Use: Firms using corporate service providers benefit because the provider can file targeted confirmation statements after each update, keeping the record current without unnecessary bulk filings.

Practical Recommendations

  • Label:Align Internal Processes: Maintain an internal register and a shared calendar noting confirmation dates and key triggers (director appointments, share transactions, PSC changes).
  • Label:Use Interim Filings When Needed: If your company has frequent changes that affect external stakeholders, file confirmation statements sooner rather than consolidating at year-end.
  • Label:Coordinate With Advisors: Ensure accountants, company secretaries and registered office providers know who is authorised to file and supply accurate supporting records.

In short, the Confirmation Statement serves the same transparency purpose as the old annual return but with greater flexibility and simpler procedures, enabling companies to keep the public register more closely aligned with real-time changes to directors, shareholders and control structures.
