Fulfillment Minimums are contractual thresholds for order volume, storage, or monthly spend that fulfillment providers use to guarantee baseline revenue and cover operational costs. Effective negotiation of these minimums can reduce wasteful charges and align costs with a merchant's seasonality and growth plan.
Negotiation begins with data. Before approaching a provider, prepare a 12 month shipment and inventory forecast broken down by SKU, month, and channel. Show expected peak and trough months and provide historic actuals if available. Providers respond positively to transparency because it lets them plan labor and space and reduces the need for punitive blanket minimums.
What To Ask For In Contract Terms
- Rolling Average Minimums: Use a 3 or 6 month rolling average to smooth seasonal spikes and dips so a single slow month does not trigger a shortfall invoice.
- Seasonal Variance Clauses: Carve out defined peak and off-peak months with adjusted minimums during predictable selling seasons.
- Onboarding Waivers: Negotiate a lower or waived minimum for the first 60 to 120 days while integrations and inventory flow stabilize.
- True-Up Options: Allow unused minimum to be credited against future months or reconciled at contract year end rather than billed immediately.
Practical Concessions To Offer
You can often trade something valuable for reduced minimums. Providers prefer predictable volume and long-term relationships, so consider these concessions:
- Longer Contract Term: A two- to three-year commitment can justify lower monthly minimums or reduced per-item fees.
- Exclusive Regional Volume: If you can consolidate volume in a region, offer it exclusively to the provider for a guaranteed window.
- Minimum Annual Spend: Shift from a monthly to an annual minimum with quarterly reporting; this can reduce short-term variability.
How To Structure Financial Protections
Insist on caps and transparency. Limit annual increases to a defined CPI or a fixed percentage, and define what costs are pass-through. Require the provider to identify and notify you of expected changes in operating costs that would cause them to request higher minimums, and set a formal amendment process rather than allowing unilateral changes.
Negotiation Sequence And Tactics
- Benchmark First: Collect quotes from multiple providers and use competitive terms as leverage rather than price alone.
- Start With Lower Minimums: Anchor the negotiations at a lower number and concede upward in exchange for service guarantees or faster SLAs.
- Ask For Trial Pricing: A time-limited pilot with performance metrics can build trust and create data for final terms.
- Lock Definitions: Ensure the contract defines what counts toward the minimum, including inbound receiving fees, returns processing, and storage days used.
When To Walk Away
If a provider refuses any flexibility, requires a punitive shortfall mechanism with immediate billing, or imposes vague terms that allow unilateral increases, consider other options. Providers willing to negotiate demonstrate better account management and usually perform better operationally.
Example Clause Language
Sample negotiation language to propose: The parties agree to a 6 month rolling average minimum of 750 orders per month. During months identified as seasonal off-peak the minimum will be reduced by 40 percent. Any shortfall will be true-up at the end of the contract year and may be credited against peak month overages subject to a maximum annual reconciliation of 20 percent of total billed fees.
