Statutory Accounts

Definition

Financial statements prepared and filed in accordance with company-law requirements in jurisdictions that require them.

Overview

Statutory Accounts Financial statements prepared and filed in accordance with company-law requirements in jurisdictions that require them. Preparing them for a warehouse or 3PL involves translating operational records — WMS, TMS, lease agreements, and payroll — into audited or reviewed financial statements that comply with applicable accounting standards and any filing rules set by lenders, regulators or state law.

This guide outlines practical steps logistics operators should follow to prepare statutory-style accounts that are reliable, auditable, and fit for external use.

Step 1 — Establish Accounting Policies

Decide on policies for inventory valuation (FIFO, LIFO, weighted average), revenue recognition (storage vs fulfilment fees, shipping pass-throughs), depreciation of racking and handling equipment, and lease accounting. Document these policies because auditors and external users will expect consistent, written policies.

Step 2 — Reconcile Operational Systems To The Ledger

WMS and TMS are primary data sources. Monthly reconcilements should include:

  • Inventory: Reconcile SKU quantities and valuation between WMS and the general ledger to prevent year-end adjustments.
  • Revenue: Match invoiced client charges from billing systems to recorded revenue and deferred revenue accounts.
  • Payroll And Overheads: Allocate labour costs between clients or cost centres to support cost-of-service reporting.

Step 3 — Prepare Supporting Schedules

Auditors expect detailed schedules: fixed-asset listings with purchase dates and depreciation, ageing of accounts receivable, reconciled bank statements, and lease schedules identifying operating versus finance leases. For warehouses, include equipment maintenance accruals and claims reserves for damaged inventory handled under client contracts.

Step 4 — Engage External Accountants Early

If an audit or review is required by creditors or regulation, engage your CPA well before filing deadlines. Early engagement surfaces potential issues — revenue recognition treatments, contract interpretation, or contingent liabilities — and avoids rushed adjustments during peak operational periods.

Step 5 — Run Internal Controls Around Key Processes

Implement controls such as dual-signature vendor payments, segregation between billing and receiving, and periodic cycle counts. These controls reduce errors that become audit exceptions and can materially impact statutory accounts.

Step 6 — Review For Covenant And Contract Compliance

Many warehouses operate under loan covenants or customer requirements (e.g., minimum working capital). Run covenant calculations using the same definitions the lender uses; treat statutory accounts preparation as an opportunity to confirm covenant compliance or provide timely waivers when needed.

Common Pitfalls And How To Avoid Them

  • Label: Poor inventory controls — fix with cycle counts tied to WMS and immediate reconciliation to the GL.
  • Label: Misclassified revenue (storage vs transactional fees) — document contract terms and apply consistent revenue recognition rules.
  • Label: Incomplete fixed-asset registers — maintain capex logs and depreciation schedules updated monthly.
  • Label: Late auditor engagement — schedule audits in low-season windows when possible and provide auditors with digital access to supporting schedules.

Practical Example

A medium-sized fulfillment operator with multiple client contracts standardized its chart of accounts and implemented monthly reconciliations between WMS and the GL. When the company sought a $5M expansion loan, the already-prepared schedules and documented policies reduced audit time and allowed for faster underwriting, lowering borrowing costs.

In short, the Statutory Accounts preparation process for a US warehouse or 3PL is a structured programme of policy setting, system reconciliations, controls and timely external engagement that turns operational records into legally dependable financial statements for lenders, regulators and large customers.
