OS IN01

Definition

The Companies House form used to register a UK establishment of an overseas company.

Overview

OS IN01 The Companies House form used to register a UK establishment of an overseas company. It is the formal filing that records an overseas company's decision to open a branch, place of business or other UK establishment on the public overseas companies register and provides Companies House with the legal and contact details the United Kingdom needs to treat the establishment as a recognized entity for corporate, regulatory and public-record purposes.

OS IN01 is not a commercial contract or tax return; it is a statutory registration document submitted to Companies House. Filing creates the public entry that links the UK presence to the company's home-country registration. The entry includes core identification information and a UK address for service so the courts, creditors, suppliers and regulators can locate the establishment.

What The Form Typically Requires

The form collects identification and contact information that establishes who the overseas company is and how it will be represented in the UK. Typical items include the overseas company's name and country of incorporation, its foreign registration number, the address of the UK establishment, the address of the principal office abroad, and names and addresses of the company's officers or representatives responsible for the UK establishment.

  • Company Identity: Foreign name, jurisdiction, incorporation date and registration number.
  • UK Establishment Address: Address where business is carried on or where documents can be served.
  • Representatives: Details of persons authorized to represent the company in the UK (directors, managers or agents).
  • Supporting Documents: Certified copies and translations of incorporation documents or other evidence Companies House requires.

Why Registering Matters

Registration under OS IN01 establishes legal transparency. It makes the overseas company visible to UK stakeholders, enabling service of process, allowing the company to enter into contracts in the UK under its foreign name (with disclosure obligations), and permitting Companies House and other authorities to monitor regulatory compliance. For many commercial counterparties and landlords, a Companies House entry is a baseline trust signal when dealing with a foreign company.

How The Filing Affects Operations

Once the OS IN01 entry is made, the UK establishment is subject to certain statutory obligations, including keeping accounting records relating to the UK activities and ensuring Companies House is kept up to date with any changes to the information provided. The registration also creates a publicly searchable record that can be used to verify the company's status and representatives.

Practical Example

A German manufacturer opens a UK sales office to manage distribution and hires local sales staff. To operate transparently and receive legal notices, the manufacturer submits OS IN01 with the firm's German registration details, the UK office address, and the UK-based manager's contact details. Companies House publishes the entry, and the UK office can then sign leases and contracts while meeting the disclosure expectations of suppliers and banks.

Tips For Smooth Registration

  • Prepare Certified Documents: Have certified copies of incorporation documents and any required translations ready before starting the form.
  • Use A Local Contact: Appoint a UK-based representative or registered agent for service of process and routine correspondence.
  • Keep Records Updated: Put review reminders on your compliance calendar to file updates promptly when officers, addresses or activities change.

In short, the OS IN01 form is the statutory mechanism Companies House uses to record an overseas company's presence in the UK; filing it correctly creates the public record needed for legal service, commercial trust and regulatory oversight.
